Moscow Exchange Plans To Convene AGM In Absentia On 28 April

On 25 March 2022, the Supervisory Board of Moscow Exchange resolved to convene and hold the Annual General Meeting of Shareholders (AGM) in absentia on 28 April 2022.

 

The AGM record date is 5 April 2022.

The Supervisory Board approved the agenda for the AGM, at which shareholders will approve the Annual Report, elect a new Supervisory Board and consider other matters.

The Supervisory Board recommended that shareholders abstain from approving an annual dividend distribution for the year 2021. This decision rests on the current dividend policy, which stipulates compliance of Moscow Exchange companies with regulatory requirements for capital allocation purposes. The Supervisory Board continues to assess the situation and intends to resume discussions around dividend payments later in the year.

The Board also approved the following list of Supervisory Board candidates to be elected at the AGM:

1. Valery Goreglyad, Chief Auditor at the Bank of Russia, Non-Executive Director candidate.
2. Maxim Krasnykh, COO at Gett, Independent Director candidate.
3. Sergey Lykov, Chief Trustee at VEB.RF, Non-executive Director candidate.
4. Alexander Magomedov, CEO at Bank 131, Independent Director candidate.
5. Oleg Malyshev, Founding Partner at OKS LABS, Independent Director candidate.
6. Vasiliy Medvedev, CEO at Rosinkas, Non-Executive Director candidate.
7. Alexander Morozov, independent consultant, Non-Executive Director candidate.
8. Egor Rudi, Founder and CEO at Profi.ru, Independent Director candidate.
9. Oscar Hartmann, Founder and President, Hartmann Holdings, Independent Director candidate.
10. Vladimir Shapovalov, Dean of MGIMO School of International Business and Business Administration, Non-Executive Director candidate.
11. Sergey Shvetsov, advisor to Head of the Bank of Russia, Non-Executive Director candidate.
12. Andrey Shemetov, former lecturer at NES, Non-Executive Director candidate.

The new Moscow Exchange Supervisory Board will comprise 12 directors. Five of the 12 candidates nominated for the Board meet the criteria for independence.

Shareholders of Moscow Exchange (individuals and legal entities) may participate in the AGM by completing electronic voting ballots using the e-voting platform, via the online Shareholder Account platform operated by registrar firm STATUS, or by sending a hard copy ballot by post.

To participate in the AGM, an individual shareholder needs only to have a registered account with the State Services Portal (Gosuslugi) or to obtain a one-time login and password from STATUS.

Moscow Exchange counts more than 370,000 individuals and in excess of 1,000 legal entities as its shareholders. The company's free float stands at 63%.

The meeting agenda and materials will be made available on MOEX’s website at least 30 days before the meeting.
